Terms of Service

1. Acceptance of Terms

By accessing or using CustomerIQ's website, platform, or services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

CustomerIQ provides a customer data platform that enables businesses to collect, unify, analyze, and activate customer data. The specific features and capabilities available to you depend on your subscription plan as described in your Order Form or the pricing page.

3. Account Registration

To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Upload, transmit, or store data that you do not have the right to use
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to build a competing product or service
  • Exceed rate limits or use automated tools in a manner that degrades service for other users

5. Customer Data

You retain all rights to the data you submit to the Services (“Customer Data”). You grant CustomerIQ a limited license to process Customer Data solely to provide the Services. We will not access, use, or disclose Customer Data except as necessary to provide the Services, prevent or address technical problems, or as required by law.

6. Data Processing & Privacy

Our processing of personal data is governed by our Privacy Policy and, for enterprise customers, by the Data Processing Agreement (DPA) attached to your Order Form. We comply with applicable data protection laws including GDPR and CCPA.

7. Payment Terms

Fees are specified in your Order Form or selected pricing plan. All fees are non-refundable except as expressly stated in these Terms. We may change pricing with 30 days' notice. Late payments accrue interest at 1.5% per month or the maximum rate permitted by law.

8. Service Level Agreement

CustomerIQ commits to 99.9% platform availability for Professional plans and 99.99% for Enterprise plans, measured monthly. If we fail to meet these targets, you may be eligible for service credits as described in the SLA addendum to your agreement.

9. Intellectual Property

CustomerIQ retains all intellectual property rights in the Services, including all software, algorithms, models, documentation, and trademarks. Nothing in these Terms grants you any rights to our intellectual property except the limited license to use the Services as described herein.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CustomerIQ'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO CustomerIQ IN THE 12 MONTHS PRECEDING THE CLAIM. CustomerIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Termination

Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, you may request export of your Customer Data within 30 days, after which it will be deleted.

12. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.
